Terms of Service

01. Acceptance of terms

These Terms of Service (“Terms”) are a binding agreement between you and Ring Labs LLC (“Ring Labs,” “we,” “us”). They govern your access to and use of our websites, software products, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, creating an account, or completing a purchase, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

02. The Services

Ring Labs builds and operates its own software products and developer tools. We may add, change, suspend, or discontinue any part of the Services at any time. We will use reasonable efforts to notify you of material changes that adversely affect paid Services.

03. Accounts and eligibility

You may need an account to use certain Services. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.

04. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.
• Reverse engineer, resell, or attempt to gain unauthorized access to the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Upload malware or transmit content that infringes the rights of others.
• Abuse, harass, or attempt to deceive other users, our staff, or our payment providers.

We may suspend or terminate access for conduct that violates these Terms or that we reasonably believe is harmful to us, other users, or third parties.

05. Fees, billing, and payments

Paid Services are billed at the prices and on the schedule presented at checkout. Card payments are processed by our third-party payment processor (Stripe); we do not store full card details. By providing a payment method you authorize us and our processor to charge the applicable fees and any taxes.

Subscriptions renew automatically for the stated period unless cancelled before the renewal date. Unless required by law or stated otherwise in our Refund Policy, fees are non-refundable. You are responsible for any taxes associated with your purchase except taxes on our net income.

06. Intellectual property

The Services, including all software, content, and trademarks, are owned by Ring Labs or its licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.

If you submit feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

07. Third-party services

The Services may integrate with or link to third-party products (for example, payment processors and infrastructure providers). We are not responsible for third-party services, and your use of them is governed by their own terms.

08. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free.

09. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RING LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD 100.

10. Indemnification

You agree to indemnify and hold Ring Labs harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Services or violation of these Terms.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or for operational, legal, or security reasons. Provisions that by their nature should survive termination will survive.

12. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. The courts located in Wyoming will have exclusive jurisdiction over any dispute not subject to other agreed dispute-resolution methods, and you consent to their jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance.
